Creator Economy Agreement

1. Who this is between

This Creator Economy Agreement is between you (the "creator") and C12 AI Gaming ("C12"), and it governs content you make for and submit to IRONICS. It applies in addition to the Terms of Service and the Virtual Currency Terms; where it conflicts with the general Terms on a creator matter, this Agreement controls.

Carnival 12 AI DAO is named as the collective rights-holder for the IRONICS economy and the final approver of what is integrated; that reference is about governance and approval only and gives you no token, equity, membership interest or financial stake. You accept a specific, versioned copy of this Agreement in the creator flow, and we record which version you accepted.

2. You keep your work — you licence it to us, non-exclusively

You keep ownership of the original content you create. You grant C12 AI Gaming a worldwide, non-exclusive, royalty-free licence to host, reproduce, adapt for technical integration, display, perform and promote your submitted content for the purpose of operating and promoting IRONICS and the C12 economy.

Because the licence is non-exclusive, you remain free to use, license or sell the same work anywhere else, on any terms you like. The licence lasts while your content is in IRONICS and, for material we have already published or that buyers already hold, for as long as needed to honour those uses. It does not let us sell your work on its own outside IRONICS.

3. What you promise about your submissions

You promise that your submitted content is your own original work or that you have all rights needed to grant the licence above, and that it does not infringe anyone's intellectual property or other rights and meets the Community Guidelines.

You are responsible for your submissions. To the extent the law allows, you will cover C12 AI Gaming for third-party claims that your content infringes their rights — capped, except for your deliberate wrongdoing, at the closed-loop earnings you received for the content in question. Nothing in this section asks you to insure us against our own conduct.

4. Submitting is not being accepted

IRONICS holds an AAA quality bar. Submitting content, and accepting this Agreement, does not entitle you to have it integrated, sold, or promoted — integration is at the DAO's and C12's discretion. We may decline, remove, rotate or retire content, and we will tell you when we do.

5. Pricing, scarcity and how you earn

Where your content is offered in the economy, you set its price and its mint cap at mint — one of a kind, a run of a fixed number, or uncapped. You earn in closed-loop, non-cashable Watts and Volts for work done in the economy: creator payments and bounties for accepted work, and — where enabled — a share of primary sales and a perpetual share when your item is resold.

C12 AI Gaming retains a disclosed house fee on economy transactions. All creator earnings are closed-loop currency governed by the Virtual Currency Terms; they carry no cash value and cannot be cashed out. Any future real-money cash-out would be a separate, opt-in program with its own terms — this Agreement does not promise one, and your earnings are payment in in-economy currency for work, never a return on an investment.

6. Map creators

If you create a map, the Map Creator Licence & Revenue-Share applies to it in addition to this Agreement, including a 15% share of C12 AI Gaming's net revenue from your map — its share of the house rake, plus in-map sponsorship, as defined in that document — paid monthly in closed-loop Volts. Map royalties are an Alpha program and do not pay until the conditions in that document are met.

7. Takedown, and making buyers whole

Content found to infringe or to break the Community Guidelines is removed. Where someone acquired that item, we make them whole inside the closed-loop economy — a refund or replacement in currency or items — never a real-money clawback against you. Repeated infringement costs you creator status and may cost you your account.

8. Who can be a creator

You must be at least 13 to hold an IRONICS account and to be a creator. If you are 13 to 17, verified parent or guardian approval is required before creator status is granted, and your parent or guardian accepts this Agreement with you.

9. The acceptance record

We keep a tamper-evidence record that you accepted a specific version of this Agreement. Where a cryptographic record of that acceptance is kept, it is EVIDENCE that the record has not changed — it is not itself the contract, and it contains no personal information about you.

10. Not an investment

Taking part as a creator is not the purchase of a security, a token or an investment, and nothing here is an offer or solicitation of one. Creator earnings are closed-loop, non-cashable in-economy currency for work done, not a return on capital.

11. Ending, changes and law

Either of us may end this Agreement: you by stopping submitting and asking us to remove your content (subject to uses already made and buyers already holding it), us for a breach or on reasonable notice. Earnings already credited in the closed loop remain subject to the Virtual Currency Terms.

IRONICS and this Agreement are provided as-is to the extent the law allows, and our liability is limited as set out in the Terms of Service. This Agreement is governed by the law of, and disputes are heard in, the home jurisdiction of C12 AI Gaming, without affecting mandatory rights your local law gives you. A material change publishes a new version and asks you to accept it again.
